GENERAL SALES TERMS & CONDITIONS
1. Scope and Application
These Sales Terms & Conditions (“T&C”) govern all sales and transactions between InstaVoxel Inc. (“InstaVoxel,” “we,” “our,” or “us”) and the client (“Client,” “you,” or “your”) for on-demand manufacturing services, including CNC machining, 3D printing and related services. By placing an order, the Client agrees to these T&C.
2. Order Confirmation & Validity
- All orders require a written purchase order from the Client.
- An order confirmation email from InstaVoxel serves as the final contract.
- Quotes are valid for 14 days from the date of issuance unless otherwise stated in writing.
- All quoted prices are for parts only and do not include shipping costs. If the Client does not have a shipping account with a designated carrier, shipping charges will be quoted separately.
- All quotes and invoices are issued in United States Dollars (USD), unless otherwise agreed upon in writing. Clients are responsible for any currency conversion fees or fluctuations if payment is made in a currency other than USD.
- Lead time will commence only after all necessary conditions have been met, including but not limited to the receipt of a customer purchase order (PO), confirmation of all technical details, and fulfillment of any required financial obligations such as payment clearance. Failure to provide these requirements in a timely manner may result in delays for which InstaVoxel is not responsible.
3. Payment Terms & Methods
- Unless otherwise agreed or if the Client has an approved credit line, full payment is required before manufacturing begins.
- For Clients with an approved credit line, standard payment terms are Net 30.
- Late payments will incur a 1.5% monthly interest fee (18% annual rate) on overdue amounts.
- Accepted payment methods:
- ACH Transfer
- Wire Transfer
- Credit Card (3% fee applies for payments over $1,000)
- Banking details will be provided upon order confirmation.
4. Custom Parts and Returns
- All parts are custom-manufactured based on the approved order specifications.
- Due to the nature of custom production, returns or exchanges are not accepted unless the delivered parts fail to meet agreed specifications.
- Any quality issues or non-conformances must be reported within 5 business days of receipt.
5. Order Cancellation
- Orders may be canceled only before manufacturing begins.
- If a cancellation request is made after manufacturing has started, InstaVoxel will evaluate the request and determine if cancellation is possible. If granted, a cancellation fee will apply based on production progress.
6. Manufacturing & Fulfillment
- InstaVoxel oversees and manages the entire manufacturing and fulfillment process, leveraging our network of highly vetted manufacturing partners globally. Depending on factors such as technical capabilities, material availability, and cost efficiency, parts may be manufactured in the United States or overseas.
- Regardless of the manufacturing location, all finished products undergo InstaVoxel’s rigorous ISO 9001:2015-certified quality control process at our lab before shipment. This ensures conformity, uniformity, and strict adherence to our quality standard.
- If your order requires manufacturing in a specific region due to regulatory or compliance requirements, you must notify us before order confirmation so we can assess feasibility. Failure to do so may result in delays or modifications to lead times and pricing.
- Customers requiring parts manufactured exclusively in the United States must indicate this requirement at the time of order placement. Any adjustments to lead time and pricing will be determined based on the project’s scope and specific manufacturing requirements.
7. Shipping & Delivery
- Lead time begins upon full payment clearance or written confirmation of payment terms, as applicable.
- Targeted delivery dates are provided upon order confirmation.
- InstaVoxel is not responsible for delays due to unforeseen circumstances, including but not limited to carrier delays, customs processing, or force majeure events.
- Preferred carriers:
- FedEx and DHL for domestic U.S. shipments.
- DHL for most international orders.
- Incoterms:
- Default for U.S. deliveries: DDP (Delivered Duty Paid).
- Default for international deliveries: DAP (Delivered at Place).
- Clients may request different Incoterms prior to order confirmation.
- Shipping Insurance: Not included by default. Clients must request and pay for shipping insurance if desired.
8. Duties, Taxes & Import Fees
- For shipments within the United States, InstaVoxel covers duties and taxes under DDP terms (excluding unloading responsibilities).
- For shipments to other countries, the Client is responsible for all duties, taxes, and import fees under DAP terms.
9. Inspection and Acceptance
- Clients must inspect parts within 5 business days of receipt.
- Any discrepancies or defects must be reported within this period.
- After this period, the order is deemed accepted, and no further claims will be considered.
10. Warranty & Liability
- Defective Parts: If defects are reported within 5 business days, InstaVoxel will offer a replacement or rework at no additional cost.
- Exclusions: The warranty does not cover defects resulting from:
- Misuse, improper storage, or modifications by the Client.
- Normal wear and tear.
- Design issues originating from Client-provided specifications.
- Liability Limitation: InstaVoxel is not responsible for indirect, incidental, or consequential damages arising from part usage.
11. Design & Specification Changes
- Any modifications to designs or specifications after order placement must be approved in writing.
- Changes may result in additional costs or lead time adjustments.
12. Confidentiality
- Both parties agree to maintain confidentiality regarding proprietary information, including but not limited to designs, pricing, and manufacturing processes.
- No disclosure shall be made to third parties without prior written consent.
13. Force Majeure
- InstaVoxel is not liable for delays or failure to fulfill the contract due to causes beyond reasonable control, including but not limited to natural disasters, war, pandemics, labor strikes, or government restrictions.
14. Governing Law & Dispute Resolution
- These terms shall be governed by and interpreted in accordance with the laws of Massachusetts, U.S.A.
- Any disputes will be subject to the exclusive jurisdiction of the courts in Massachusetts, U.S.A.
15. Amendments
- InstaVoxel reserves the right to amend these Terms & Conditions at any time. The latest version will be available upon request or published on our official website.
